Carl Guarino

Chief Executive Officer

Mr. Guarino joined ICG Commerce in August 2006. As Chief Executive Officer for ICG Commerce, Mr. Guarino leads a seasoned management team in supporting customers in their initiatives to reduce costs and add value to their enterprises, while sustaining the continued growth and success of the company.

Prior to joining ICG Commerce, Mr. Guarino was Executive Vice President with SEI Investments, a leading global provider of outsourced asset management, investment processing and investment operations solutions. During his 18-year tenure, he significantly expanded the company’s asset management division and led the organization’s entrée into global markets, driving significant growth through joint ventures and acquisitions. Having run one of the largest IT centers in the Eastern region, Mr. Guarino also brings an appreciation for managing outsourcing relationships and optimizing operational businesses.

Mr. Guarino earned a Bachelor of Science degree in Political Science from St. Joseph's University and a Juris Doctorate from Harvard Law School.

Alun Baker

Managing Director, Europe

Mr. Baker joined ICG Commerce in August 2011 as the Managing Director of UK/Europe based in the Company's London headquarters. In this role, Mr. Baker is responsible for developing and executing the Company's UK and European go-to-market strategy and overseeing the Company's account management and delivery operations in region.

Prior to joining ICG Commerce, Mr. Baker was the SVP and Managing Director, EMEA of Datasynapse. Mr. Baker has more than 10 years of senior management experience in enterprise application software and is credited for his role in transforming numerous technology companies into globally recognized, leading businesses. Over the last 11 years, Mr. Baker has also held Non-Executive Chairman roles in Infrastructure and Datacenter Consultancies such as Company-I and currently, Citihub. In addition, Mr. Baker has more than 20 years of experience in the IT Market through various roles that he has held in Sales, General Management and Executive Management positions. Previous roles included having served as the SVP of Northern Europe for Lawson Software and SVP of UKI and MEA of TIBCO Software.

Mr. Baker holds a joint honors degree in Economics and Economic Geography from the University of Wales.

Rick Bunker

Chief Information Officer

As Chief Information Officer, Mr. Bunker leads a team of IT specialists in optimizing business process and information management to create quantifiable value for ICG Commerce's customers.

Mr. Bunker has over 20 years of experience in information systems strategy & architecture and product design & development, including positions as Managing Director and Chief Technology Officer of the Internet Capital Group, President and Chief Executive Officer of Reality Online (a Reuters subsidiary) and Senior Vice President and Chief Information Officer of SEI Investments.

In addition, he brings extensive business strategy and leadership experience to the management team, including interim CEO assignments at Xyan.com and ServerVault and positions as Partner at Nathanson & Company, Vice President leading investment management and trading technology for State Street Global Advisors and Russian Linguist for the US Army Security Agency.

David Clary

Senior Vice President, Program Management

As Senior Vice President, Program Management, Mr. Clary is responsible for the successful execution of ICG Commerce's client-specific program goals and metrics across all customers on a global basis. In this role, Mr. Clary leads a team of General Managers, Program Leaders, Program Management staff and Transition experts focused on the set-up, implementation and on-going management of tailored procurement solutions. In addition to ensuring savings targets and operational SLAs are met, Mr. Clary’s team serves as the focal point for the company's client relationships with an ongoing emphasis on driving innovation within the procurement function.

Mr. Clary was voted one of America's Supply Chain 'Pros to Know' in 2003 by iSource Magazine and is a frequent presenter at ISM, Outsourcing and other industry-affiliated forums on a variety of topics related to procurement best practices.

Prior to joining ICG Commerce, Mr. Clary was a Principal at A.T. Kearney, the global management consultancy, where he was instrumental in developing that firm's strategic sourcing and procurement operations practices. He holds a BS in Business from the University of North Carolina at Chapel Hill and an MBA with Honors from Erasmus University's Rotterdam School of Management in the Netherlands.

Jason Gilroy

Vice President, Global Account Group

As Vice President of the Global Account Group, Mr. Gilroy is responsible for building and expanding relationships with companies across the world. In his role, Mr. Gilroy helps companies to build and develop successful procurement outsourcing strategies. Mr. Gilroy has assisted many leading companies including Accenture, Kimberly-Clark, Hertz, Whirlpool, Symantec, Avaya, and Timken through the evaluation, business case development, implementation and management of outsourcing solutions. By combining proven procurement services with enabling technology and governance models, Mr. Gilroy helps companies enable their BPO strategy, accelerate return on existing investments and ultimately realize significant procurement related savings. At ICG Commerce, Mr. Gilroy has helped develop the industry's leading procurement outsourcing capability and methodology.

He was recognized as ‘Pro to Know’ in 2005 by Supply and Demand Chain Executive and is a frequent presenter at outsourcing and other industry-affiliated forums.

Prior to joining ICG Commerce, he was a principal at PricewaterhouseCoopers, where he was responsible for running extensive global business transformation projects for large multi-national companies like Sony Music, Ford Motor Company and Caremark.

Mr. Gilroy earned a Bachelor of Arts degree from University of Illinois and a Masters in Business Administration from the Kellogg Graduate School of Management.

Keith Hausmann

Senior Vice President, Sourcing, Category Management and Market Intelligence

Mr. Hausmann, one of the original founders of ICG Commerce, is responsible for developing and managing ICG Commerce's Global Sourcing, Category Management and Market Intelligence capabilities and delivery services. Mr. Hausmann has 20 years of experience in strategic sourcing, category and supplier relationship management. His global organization of more than 350 category, sourcing process, supplier relationship management and logistics experts leverage innovative strategies, proprietary technology, tools and market intelligence to help companies execute large sourcing and spend management programs and ultimately realize measurable cost reductions.

Mr. Hausmann has sourced and managed the entire sphere of a typical company's indirect spend and has extensive experience sourcing many direct categories and managing large scale initiatives to outsource various business functions including logistics execution, contract manufacturing and human resource administration. Mr. Hausmann is a well-recognized expert in the procurement industry, having shared his insights during numerous industry events, including National ISM Conferences, Sourcing Interest Group Conferences, Grocery Manufacturers Association Chairman's Advisory Committee and the Purchasing Magazine Global Procurement Conference. In addition, Mr. Hausmann has been recognized by Supply & Demand Chain Executive as one of the publication's "Provider Pros to Know".

Prior to ICG Commerce, Mr. Hausmann initially built and managed Indirect Procurement for two leading organizations including Wyeth (now Pfizer) and a $1.5B spin-off of Campbell Soup. In addition, he served as Director of Strategic Planning for Vlasic Foods and Vice President of Client Services for PGI, a strategic sourcing consultancy.

Bob Kothari

Senior Vice President, Sales and Business Development

As Senior Vice President of Sales and Business Development, Mr. Kothari is responsible for leading the development and execution of the company's Go-To-Market strategy. In this capacity, he leads a team of industry vertical leaders, sales professionals, and solution designers in the engagement, solutioning, and commercial structuring for companies in ICG Commerce's target markets.

Prior to joining ICG Commerce, Mr. Kothari was a Principal at A.T. Kearney, the global management consultancy, based in New York. He led strategic sourcing, organizational re-design, operational effectiveness, sales and marketing, and strategy engagements in the consumer packaged goods, transportation, pharmaceutical, and outsourcing services industries. Mr. Kothari was also the Manager of Regulatory Affairs for Waste Management Inc. based in Washington DC.

Mr. Kothari earned a Bachelor of Arts degree from Franklin & Marshall College, a Master of Environmental Management degree from Duke University, and Master of Business Administration from the University of Pennsylvania's Wharton School.

Kristen Knouft

Vice President, Marketing

As Vice President of Marketing, Ms. Knouft is responsible for facilitating company growth by driving strategies and programs which are aimed at increasing marketplace demand for Procurement BPO services, positioning ICG Commerce as a recognized industry leader and bringing the company’s new product developments to market. Under Ms. Knouft's leadership, numerous industry analyst and advisory firms, including IDC, NelsonHall, and Everest, have recognized the company as the Procurement BPO market share leader, while Fortune, Forbes, and other publications have publicly awarded the company for its exceptional capabilities and depth of expertise.

Prior to joining ICG Commerce in 2000, Ms. Knouft was a senior leader within Ernst & Young LLP's Post Merger Integration Practice. In this capacity, she spearheaded numerous global consulting programs focused on helping recently merged companies develop and implement integrated Sales & Marketing, Supply Chain and Human Resource strategies while achieving financial cost synergies. Ms. Knouft began her career in Mobil Oil's Market Strategy Group.

Francesca Molinari

Vice President, Human Capital Management

As Vice President of Human Capital Management, Ms. Molinari is responsible for enabling the company to deliver against its brand promise and value proposition by continuously attracting, retaining and developing top industry talent. Ms. Molinari leads a team of talent acquisition and human resources experts dedicated to enhancing ICG Commerce and she brings extensive experience leading global human capital programs that drive results through improving selection, increasing engagement, and reducing turnover.

Ms. Molinari has twenty years of global leadership experience in talent management and human resources from previous work in the financial services, luxury retail, and not-for-profit environments. Ms. Molinari is highly versed in organizational design, talent management, recruitment, selection, compensation, employee relations, employee communication and employment law. She has extensive experience helping develop global service oriented human resource teams in addition to implementing global recruiting, succession planning, training, performance management, mergers and acquisition integration and compensation programs. Prior to joining ICG Commerce, Ms. Molinari held various positions within General Electric and Macy's.

Ms. Molinari earned a Bachelor of Arts Degree from Hofstra University and a Master of Science Degree in Human Capital Management from New School University.

Michael J. Shim, Esquire

Senior Vice President, General Counsel and Corporate Secretary

As Senior Vice President, General Counsel and Corporate Secretary of ICG Commerce, Michael Shim is responsible for all legal and regulatory matters relating to ICG Commerce's worldwide operations, including strategic transactions, corporate finance, commercial transactions, corporate governance, mergers and acquisitions, governmental regulation, internal audit, compliance and security, real estate, litigation, employment law matters, intellectual property and other legal matters. Mr. Shim is a member of the company's Management Committee, Strategy Committee and Leadership Committee and has been responsible for a number of the company's corporate functions throughout the years, including technology infrastructure, human resources and real estate.

Mr. Shim is a recognized expert in outsourcing transactions, having led the negotiation of all of ICG Commerce's major outsourcing contracts since the company's inception. Mr. Shim was also responsible for forming and growing the company's Contract Services business unit, which provides contract negotiation services and legal process outsourcing services to global customers as part of the company's comprehensive procurement outsourcing offering.

Prior to joining ICG Commerce, Mr. Shim worked as an attorney in the Business and Finance Section of Morgan, Lewis & Bockius LLP. At Morgan Lewis, Mr. Shim focused his practice on representing public and private companies in various corporate legal matters, including corporate finance, mergers and acquisitions, securities, and complex joint venture transactions. Mr. Shim received his Bachelor's degree in finance from the University of Notre Dame and his Juris Doctor degree from the New York University School of Law.

Steve Simko

Vice President, Operations

Mr. Simko is responsible for the development and execution of the company's transactional purchasing solutions. Mr. Simko leads a global team of procurement specialists who perform transactional purchasing with a service-oriented focus. His team also includes process and transformation experts who help clients optimize their procurement processes and technologies.

Mr. Simko has over 20 years of experience in procurement, supply chain, and business process transformation. Prior to joining ICG Commerce, Mr. Simko led global sourcing and operational engagements for A.T. Kearney, a management consulting firm. He has also held purchasing and manufacturing leadership positions with E.I. DuPont and Dade Behring.

Mr. Simko earned a Bachelor of Science degree from Rensselaer Polytechnic Institute and a Masters in Business Administration from New York University.

Joseph F. Waterman

Chief Financial Officer

Mr. Waterman joined ICG Commerce in March of 2010 as the company's Chief Financial Officer. In this role, Mr. Waterman is responsible for driving the company's financial strategies and operations, including its reporting, planning and treasury functions. Mr. Waterman brings a valuable combination of financial and operational expertise and has helped companies drive successful growth both organically and through acquisitions.

Prior to joining ICG Commerce, Mr. Waterman worked for two venture backed entities. Most recently, he was the Chief Financial Officer of RecoverCare, LLC, a leading distributor of health care solutions. Prior to working with RecoverCare, Mr. Waterman was the Chief Financial Officer of Gestalt, LLC, a privately held defense consulting firm. During his three-year tenure, the company's revenue grew three-fold and he was an integral member of the team that managed its successful merger with Accenture. For the thirteen years prior to Gestalt, he worked for Sanchez Computer Associates, a global software company where he served initially as Chief Financial Officer, and then as President and Chief Operating Officer. During his career with Sanchez, he led a successful IPO prior to the later sale to Fidelity National Financial.
